1. Agreement & Acceptance
These Terms and Conditions constitute a legally binding agreement between you (whether individually or representing a corporate entity, "Client") and CatchAbit Solutions ("CatchAbit", "we", "us", or "our"). By accessing https://catchabit.in, submitting a diagnostic audit request, or executing a service agreement, you confirm that you have read, understood, and agreed to these Terms.
2. Description of Services
CatchAbit Solutions provides specialized management, strategic engineering, and algorithmic bid optimization exclusively for Amazon Advertising channels, including:
- Amazon Sponsored Products (SP) management and Top-of-Search placement multipliers.
- Amazon Sponsored Brands (SB) and Sponsored Brands Video (SBV) campaign architecture.
- Amazon Sponsored Display (SD) and ASIN-level retargeting/conquesting campaigns.
- Amazon Demand-Side Platform (DSP) programmatic audience acquisition.
- 48-Hour Forensic Account Audits and keyword budget leakage analyses.
3. Engagement Models & Billing Terms
Specific pricing and service scope are formalized in individual Client Service Agreements under one of two core models:
- Performance Model (% of Ad-Attributed GMV): Agency management fee is calculated as an agreed percentage (typically 3% to 8%) of gross merchandise value directly attributed to advertising campaigns during the billing cycle.
- Fixed Monthly Retainer: A pre-agreed fixed monthly fee billed at the start of each service cycle for structured campaign administration.
- Amazon Ad Spend: Ad spend itself is billed directly to the Client's Amazon payment method by Amazon Advertising. CatchAbit does not collect or pay client ad spend.
4. Zero Long-Term Lock-in & Cancellation Policy
In alignment with our marketing commitment to "Zero Contract Lock-in", our standard engagements operate on flexible monthly rolling cycles. Either party may terminate the active engagement at any time by providing a standard 30-day written cancellation notice via email to admin@catchabit.in. All campaign optimizations and account history remain 100% the property of the Client upon conclusion.
5. Client Obligations & Account Access
To ensure optimal execution and campaign safety, the Client agrees to:
- Grant CatchAbit access strictly via Amazon Advertising User Permissions (secondary user role with Campaign Manager privileges).
- Maintain healthy inventory levels, buy-box eligibility, and account standing on Amazon.
- Promptly notify CatchAbit of major inventory disruptions, product delistings, or supply chain constraints.
6. Performance Benchmark Disclaimer & Limitation of Liability
CatchAbit employs rigorous analytical, statistical, and algorithmic techniques to optimize advertising efficiency. However, marketplace advertising performance is inherently influenced by dynamic variables beyond any agency's control, including competitor bidding behavior, product reviews, Amazon algorithm adjustments, seasonality, and price fluctuations.
Therefore, CatchAbit does not provide an absolute or legal guarantee of specific monetary ROAS, sales figures, or ACoS levels. To the maximum extent permitted under applicable law, CatchAbit Solutions shall not be liable for indirect, consequential, incidental, or exemplary damages, lost profits, or marketplace account actions imposed by Amazon.
7. Intellectual Property
All proprietary audit frameworks, website content, graphics, and analytical methodologies displayed on catchabit.in are the exclusive intellectual property of CatchAbit Solutions. The advertising data, creative assets, and account structures within the Client's Amazon console remain the sole property of the Client.
8. Governing Law & Jurisdiction
These Terms and any dispute arising from client engagements shall be governed by and construed in accordance with the laws of India. The courts of Uttar Pradesh, India shall have exclusive jurisdiction over any legal proceedings.
